In Chapter 9, we discuss strategic control and corporate governance. For Disney, we will focus on corporate governance. Disney aligns the interests of owners and management, known as governance mechanisms. Disney has a board of directors that is separate from management. According to Disney, the board of directors monitors governance practices to uphold the commitment to represent the shareholder’s interest. Disney has three important committees set up to follow through with their commitment. The first is the audit committee, followed by the compensation and governance nominating committees. Each committee is made up of independent directors. They do this to maintain a high ethical standard and legal compliance.
